Longline Labs Account Terms of Service
Effective date: November 3, 2026
Draft. This version was written on November 3, 2026 for review by our attorney and is in use on the test site only. The questions it raises are listed in
legal/FOR-THE-ATTORNEY.md.
1. Agreement
These Terms are a contract between LONGLINE LABS LLC, a Florida limited liability company ("Longline Labs," "we," "us"), and the person who creates or uses a Longline Labs account ("you"). They cover the Longline Labs account service at account.longlinelabs.com (the "Account Service"): one sign-in for the Longline Labs apps.
You accept these Terms by checking the "I agree" box when you create your account, or by accepting an updated version when asked. We keep a record of each acceptance. By accepting, you confirm that you are at least 18. The Longline Labs apps are business tools, and the account is for business use only, not for personal, family or household use.
Our Privacy Policy explains how we handle information and is part of these Terms.
2. What the account is, and what it is not
A Longline Labs account is one email address, one password and, if you choose, one authenticator app, for signing in to the Longline Labs apps: Coifish, ReelMinder, PacketSkipper, BallastBook, ShipShape and AboveBoard (the "Apps"). In an App, "Continue with Longline Labs" sends you here to sign in; when you approve, we tell that App your name, your email address, that the address is confirmed, and a code that identifies your account. The App then signs you in.
Each App is its own service. Each App has its own Terms of Service, Privacy Policy, plans, billing, companies, teams and data. These Terms cover only the account. When you use an App, that App's Terms apply to your use of it, and the App asks you to accept them itself. Nothing in these Terms gives you a subscription to, or any right to use, an App.
The account is free. We do not charge for the Account Service. The Apps charge for their own subscriptions under their own Terms.
3. Your account
- Give accurate information and keep it current.
- Keep your password private. One account is for one person; do not share it or let anyone else sign in with it.
- We recommend two-step sign-in with an authenticator app. When you turn it on, we give you recovery codes. Each code signs you in once if you lose your phone; keep them somewhere safe. If you lose both your phone and your codes, write to us from the email address on your account, and we will check that it is you before helping you back in.
- You are responsible for everything done with your account, in the Account Service and in the Apps you sign in to with it.
- Tell us promptly at contact@longlinelabs.com if you believe your account has been used without your permission.
4. Acceptable use
You may not:
- break any law, or use the account to do so;
- pretend to be someone else, or use an email address that is not yours;
- access, or try to access, another person's account or any part of the Account Service you are not authorized to use;
- probe, scan or test the Account Service's security, or interfere with its operation, except as we agree in writing;
- use automated means to create accounts or to sign in, other than features we provide; or
- reverse engineer, decompile or try to extract the Account Service's source code, except as the law expressly allows.
We may suspend an account that breaks this Section, with notice where reasonable.
5. Your information
The Account Service keeps the information needed to sign you in: your name, email address, a scrambled form of your password, the secret for your authenticator app and scrambled recovery codes if you set them up, a record of each time you agree to these Terms, which Apps you have let sign you in, and records of sign-in attempts. Our Privacy Policy says what we keep, why, for how long, and who helps us keep it.
We do not sell your information. We do not use it for advertising. We do not use it to train artificial intelligence models.
6. Our software and trademarks
The Account Service and its software, design, text and graphics belong to LONGLINE LABS LLC and its licensors and are protected by intellectual property laws. While you follow these Terms, we give you a limited, non-exclusive, non-transferable right to use the Account Service to sign in to the Apps. We keep all rights not expressly granted. "Longline Labs" and the names and logos of the Apps are our trademarks. You may not use them without our permission, except to refer to our services accurately.
7. Availability and changes to the Account Service
We work to keep the Account Service available and reliable, but we do not promise it will be uninterrupted or error-free. We may perform maintenance, and may change, add or remove features. If we remove a feature that is central to signing in, we will give you at least 30 days' notice.
8. Closing your account
- By you. You may ask us to delete your account at any time by writing to contact@longlinelabs.com from the email address on the account. Deleting the account ends your ability to sign in to the Apps with it. What each App keeps or deletes after that is governed by that App's own Terms, because the Apps hold their own data.
- By us. We may suspend or close your account if you materially breach these Terms and do not fix the breach within 10 days of our notice, or immediately if needed to stop a security threat, unlawful use or harm to others. We may also end the Account Service for everyone on at least 60 days' notice.
- Afterward. Within 30 days after an account is closed, we delete its information from our active systems. Copies in backups are deleted as those backups expire on our normal schedule, and are not restored except to recover from a failure. We may keep the record of your acceptance of these Terms and information we must keep by law.
9. Disclaimer of warranties
THE ACCOUNT SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, LONGLINE LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
10. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS:
- NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, EVEN IF TOLD THEY WERE POSSIBLE.
- BECAUSE THE ACCOUNT SERVICE IS FREE, LONGLINE LABS'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE ACCOUNT SERVICE IS LIMITED TO $100.
- THESE LIMITS DO NOT APPLY TO YOUR BREACH OF SECTION 4, OR TO LIABILITY THAT CANNOT BE LIMITED BY LAW, SUCH AS FOR FRAUD OR INTENTIONAL MISCONDUCT.
Your use of an App, and any claim about an App, is governed by that App's Terms, including its own limits.
11. Indemnity
You will defend and indemnify Longline Labs and its members, officers, employees and contractors against third-party claims, and the resulting losses, damages, fines and reasonable attorneys' fees, to the extent they arise from your breach of these Terms or your misuse of the account. We will tell you promptly of a claim, let you control the defense, and cooperate at your expense. You may not settle a claim in a way that admits fault by Longline Labs without our consent.
12. Confidentiality
Each of us will use the other's non-public business information that is marked or obviously confidential only as these Terms allow, and will protect it with reasonable care. This does not cover information that is public, already known to the recipient, independently developed, or lawfully received from someone else. Either of us may disclose confidential information when the law requires, with notice to the other where allowed.
13. Changes to these Terms
We may update these Terms. For a material change, we will email you at least 30 days before it takes effect, and ask you to accept the new version at your next sign-in. If you do not agree, you may close your account before the change takes effect. Other changes take effect when posted, with the new effective date at the top.
14. Governing law and disputes
- Governing law. Florida law governs these Terms, without regard to its conflict-of-laws rules.
- Talk first. Before filing a claim, the party with the dispute will email the other a description of it, and both will try in good faith to resolve it for 30 days. Either party may seek urgent court relief to protect its intellectual property or data at any time.
- Courts. Any lawsuit must be brought in the state courts in Polk County, Florida, or the federal court for the Middle District of Florida, and both parties consent to those courts.
- No class actions. Each party may bring claims only in its own name, not as a plaintiff or class member in a class, collective or representative action.
- JURY WAIVER. EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY LAWSUIT ARISING FROM OR RELATING TO THESE TERMS OR THE ACCOUNT SERVICE.
15. General
- No third-party beneficiaries. These Terms are only between you and Longline Labs. No one else has any rights under them or may enforce them.
- Events outside our control. Neither party is responsible for delays or failures caused by events beyond its reasonable control, such as hurricanes and other natural disasters, power or internet failures, government action, or outages at providers we rely on.
- Electronic notices. You agree that we may give notices, agreements and other communications electronically, by email to the address on your account or in the Account Service, and that they meet any requirement that they be in writing. Notices to us go to contact@longlinelabs.com. Email notices are given when sent.
- Independent parties. We are independent contractors. Nothing here creates a partnership, agency or employment relationship.
- Assignment. You may not transfer these Terms or your account. We may transfer them in a merger, acquisition or sale of our business or assets.
- Export and sanctions. You will not use the Account Service in violation of U.S. export or sanctions laws. The Account Service is offered for use in the United States.
- Survival. Sections 5, 6, 8 (for what happens afterward), 9 through 12, 14 and 15 continue after these Terms end.
- Entire agreement, severability, no waiver. These Terms and the Privacy Policy are the whole agreement between us about the Account Service. If a court finds part of them unenforceable, the rest stays in effect, and that part is enforced as far as possible. Not enforcing a right is not a waiver of it.
